Reporting client reporting portal, any subdomains such as reporting.gonorth.io, and any other interactive features that post a link to these Terms (each one a “Service”)) are operated by Straight North, LLC (referred to herein as “Straight North,” “we,” “us” or “our”). The Site and each Service are collectively described herein as the “Services.”
The Services are offered to you conditioned on your acceptance without modification of these Terms. By agreeing to these Terms, you also agree to the terms of our Privacy Policy. Before using the Services, please review our Privacy Policy, which governs the Services, informs users of our data collection practices, and is incorporated by reference herein. By using the Services, you agree to comply with and be bound by these Terms. If at any point you do not agree to these Terms, your access to or use of the Services is no longer permitted. Relationship to Services Agreements. Users of the GoNorth! Reporting portal are clients of Straight North that have agreed to a separate terms of use, entered into a separate written master services agreement, statement of work, insertion order, or similar services agreement with Straight North (each, a “Services Agreement”). These Terms supplement, and do not replace, any Services Agreement. In the event of any conflict between these Terms and a fully executed Services Agreement, the Services Agreement controls with respect to the subject matter it addresses (including, without limitation, fees, data ownership, confidentiality, service levels, indemnification, limitations of liability, and dispute resolution).
Straight North reserves the right to modify these Terms without notice, and any modifications are effective when they are posted here. Straight North may, at any time, in its discretion, terminate your access to this Website. Access to the Website may be monitored by Straight North. If you are accessing this Website as a representative of an organization, these Terms bind both you individually and the organization, and references to “you” and “your” shall be construed to apply to you individually and the organization.
Copyright and Use of Website Information
Straight North and/or its licensors maintain copyright protection in all material, information and publications (collectively, “Website information”) that Straight North places on this Website. Because we have no control over Linked Sites, we are not responsible for the availability of those Linked Sites and do not endorse and are not responsible or liable for any content, advertising, services, products, or other materials on or available from Linked Sites. Straight North is not responsible or liable for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any content, services, products, or other materials on or available from Linked Sites. These Terms do not apply to your use of Linked Sites; your use of a Linked Site is subject to the terms and policies of the owner of that site.
Certain services made available via the Services are delivered by third-party sites and organizations. By using any product, service, or functionality originating from the Services, you acknowledge and consent that Straight North may share such information and data with any third party with whom Straight North has a contractual relationship to provide the requested product, service, or functionality on behalf of users and clients, consistent with our Privacy Policy.

The Services, including all text, images, designs, logos, information, software, and ideas specifically originating from Straight North (the “Content”), are protected under applicable intellectual property and other laws, including without limitation the laws of the United States and other countries. Except for third-party content linked to through the Services, and unless otherwise noted, all Content and corresponding intellectual property rights belong to Straight North or are included with the permission of the rights owner and are protected pursuant to applicable copyright and trademark laws.

All other trademarks, product names, company names, logos, service marks, and/or trade dress mentioned, displayed, cited, or otherwise indicated within the Services are the property of their respective owners, and no affiliation or association is claimed or intended. You are not authorized to display or use the Straight North marks, or the marks of other owners featured or linked within the Services, in any manner without the applicable owner’s prior written permission.

- Misrepresent your identity, impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or entity in connection with the Services, or express or imply that Straight North endorses any statement you make;
- Conduct fraudulent activities on the Services;
- Violate or attempt to violate the security of the Services, whether in an automated fashion or otherwise, including: (i) accessing data not intended for you or logging onto a server or account you are not authorized to access; (ii) attempting to change the behavior of the Services; (iii) attempting to interfere with service to any user, host, or network, including by submitting malware, overloading, flooding, spamming, mailbombing, or crashing; (iv) forging any header or part of the header information in any communication; or (v) forging communications on behalf of the Services;
- Tamper with the Services or use any device, software, routine, or data that interferes or attempts to interfere with the working or functionality of the Services;

Disclaimer of Warranties
The Services are provided by Straight North on an “as is” and “as available” basis, without representations or warranties of any kind. Straight North makes no representations or warranties of any kind, express or implied, as to the operation of the Services, the accuracy or completeness of the Content or the Reporting Data, or that communications sent from Straight North are free of malware or other harmful components. You expressly agree that your use of the Services is at your sole risk. To the fullest extent permitted by law, Straight North disclaims any and all representations and warranties with respect to the Services, the Content, and the Reporting Data, including without limitation warranties of title, merchantability, and fitness for a particular purpose or use. Straight North does not warrant that any descriptions or other content provided by or through the Services are accurate, complete, reliable, current, or error-free, and we reserve the right to correct any errors, inaccuracies, or omissions and to change or update information at any time without prior notice.
International Users
The Services are controlled, operated, and administered by Straight North from our offices within the United States of America. If you access the Services from a location outside the United States, you are responsible for compliance with all local laws. You agree that you will not use the Services in any country or in any manner prohibited by any applicable laws, restrictions, or regulations. The Services may be subject to U.S. export control laws. Governing Law, Jurisdiction and Venue
These Terms will be governed under the laws of the State of Illinois without regard to its conflicts of law provisions. All actions or proceedings arising out of or relating to these Terms will be venued exclusively in DuPage County, Illinois. You hereby irrevocably consent and submit to the personal jurisdiction of said courts for all such purposes. However, we retain the right to bring legal proceedings in any jurisdiction where we believe that infringement of these Terms is taking place or originating.

Straight North reserves the right, in its sole discretion, to change the Terms under which the Services are offered. The most current version of the Terms will supersede all previous versions. Straight North encourages you to periodically review the Terms to stay informed of our updates.

Dispute Resolution
Arbitration
Subject to and except as otherwise provided in any applicable Services Agreement, in the event the parties are not able to resolve any dispute between them arising out of or concerning these Terms, or any provisions hereof, whether in contract, tort, or otherwise, then such dispute shall be resolved only by final and binding arbitration pursuant to the Federal Arbitration Act, conducted by a single neutral arbitrator and administered by the American Arbitration Association, or a similar arbitration service selected by the parties, in a location mutually agreed upon by the parties. The arbitrator’s award shall be final, and judgment may be entered upon it in any court having jurisdiction. In any action, proceeding, or arbitration arising out of or concerning these Terms, the prevailing party shall be entitled to recover its costs and reasonable attorneys’ fees. The parties agree that the Federal Arbitration Act governs the interpretation and enforcement of this provision. The entire dispute, including the scope and enforceability of this arbitration provision, shall be determined by the arbitrator. This provision shall survive the termination of these Terms.
Class Action Waiver
Any arbitration under these Terms will take place on an individual basis; class arbitrations and class, representative, or collective actions are not permitted. THE PARTIES AGREE THAT A PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN EACH’S INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PUTATIVE CLASS, COLLECTIVE, AND/OR REPRESENTATIVE PROCEEDING. Further, unless both you and Straight North agree otherwise, the arbitrator may not consolidate more than one person’s claims and may not otherwise preside over any form of a representative or class proceeding.
Indemnification
You agree to indemnify, defend, and hold harmless Straight North, its officers, directors, employees, agents, and third parties, for any losses, costs, liabilities, and expenses (including reasonable attorneys’ fees) relating to or arising out of your use of or inability to use the Services, your violation of any of these Terms, your violation of any rights of a third party, your mismanagement of your credentials or unauthorized access resulting therefrom, or your violation of any applicable laws, rules, or regulations. Straight North reserves the right, at its own cost, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will fully cooperate with Straight North in asserting any available defenses.
Limitation of Liability
The following limitation applies only to your use of the Services and does not affect any rights you have pursuant to any Services Agreement, the Privacy Policy, or where prohibited by applicable law.
YOU AGREE THAT YOUR ACCESS TO, AND USE OF, THE SERVICES, THE CONTENT, AND THE REPORTING DATA IS ON AN “AS IS” AND “AS AVAILABLE” BASIS. WE SPECIFICALLY DISCLAIM ANY REPRESENTATIONS OR WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, WARRANTIES AGAINST INFRINGEMENT, AND WARRANTIES RELATING TO THE ACCURACY, RELIABILITY, CORRECTNESS, TIMELINESS, OR COMPLETENESS OF DATA (INCLUDING THE REPORTING DATA) MADE AVAILABLE ON OR THROUGH THE SERVICES. WE MAKE NO WARRANTY THAT THE SERVICES WILL MEET YOUR REQUIREMENTS, THAT THE INFORMATION PROVIDED WILL BE FREE FROM ERROR, OMISSION, INTERRUPTION, DEFECT, OR DELAY, THAT THE SERVICES WILL BE AVAILABLE AT ANY PARTICULAR TIME OR LOCATION, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICES ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
TO THE EXTENT PERMITTED BY APPLICABLE LAW, AND EXCEPT AS OTHERWISE PROVIDED IN AN APPLICABLE SERVICES AGREEMENT, THE MAXIMUM AGGREGATE LIABILITY OF STRAIGHT NORTH AND ITS AFFILIATES AND THEIR RESPECTIVE MEMBERS, MANAGERS, DIRECTORS, OFFICERS, EMPLOYEES, SUPPLIERS, AND LICENSORS TO YOU FOR DIRECT DAMAGES ARISING OUT OF YOUR USE OF THE SERVICES IS LIMITED TO THE FEES PAID UNDER THE APPLICABLE SERVICES AGREEMENT IN THE 12 MONTHS PRECEDING THE CLAIM. WE WILL NOT BE LIABLE TO YOU OR ANY OTHER PERSON FOR INDIRECT, CONSEQUENTIAL, SPECIAL, INCIDENTAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION LOST PROFITS, LOST SAVINGS, AND LOST REVENUES, OR FOR ANY DAMAGES ARISING FROM DECISIONS MADE OR ACTIONS TAKEN IN RELIANCE ON THE REPORTING DATA, WHETHER OR NOT CHARACTERIZED IN NEGLIGENCE, TORT, CONTRACT, OR OTHER THEORY OF LIABILITY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, AND IRRESPECTIVE OF ANY FAILURE OF ESSENTIAL PURPOSE OF A LIMITED REMEDY. IF ANY APPLICABLE AUTHORITY HOLDS ANY PORTION OF THIS SECTION TO BE UNENFORCEABLE, THEN OUR LIABILITY WILL BE LIMITED TO THE FULLEST POSSIBLE EXTENT PERMITTED BY APPLICABLE LAW.
Termination and Access Restriction
Straight North reserves the right, in its sole discretion, to terminate your access to the Services or any portion thereof (including the reporting portal) at any time, without notice, including for suspected unauthorized or suspicious activity, security risk, or breach of these Terms. You agree that no joint venture, partnership, employment, or agency relationship exists between you and Straight North as a result of these Terms or your use of the Site. Straight North’s performance of these Terms is subject to existing laws and legal process, and nothing contained in these Terms is in derogation of Straight North’s right to comply with governmental, court, and law enforcement requests or requirements relating to your use of the Services.
Severability and Entire Agreement
If any part of these Terms is determined to be invalid or unenforceable pursuant to applicable law, including the warranty disclaimers and liability limitations set forth above, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision, and the remainder of these Terms shall continue in effect.
Except as set forth in the “Relationship to Services Agreements” section above, and unless otherwise specified herein, these Terms constitute the entire agreement between you and Straight North with respect to the Services and supersede all prior or contemporaneous communications and proposals, whether electronic, oral, or written, between you and Straight North with respect to the Site. For clients that have entered into a Services Agreement, these Terms supplement that Services Agreement and do not supersede it; the Services Agreement controls as to the subject matter it addresses.
